    LLC Strengths & Pitfalls, with Tzvi Weiser

    Welcome to the CRE Clarity Podcast with Jeremy Goodrich. Today’s guest is Tzvi Wiser, Senior LLC Specialist at NUCO Filings. In this episode, we explore the flexibility and structuring of LLCs in real estate, the compliance requirements they must meet, and the impact of the new Corporate Transparency Act. It's the beginers that often make the mistakes.”   01:00 Tzvi explored various career paths, from accounting to the high-tech industry, but during the pandemic, he found his niche in real estate LLC creation.   Tzvi discusses the best strategies for creating and structuring LLCs. He highlights that LLCs are generally more flexible than a typical LP, offering different classes of shares and various arrangements for profit sharing. However, the distinction between limited partners and general partners is not always clear.   One common strategy with LLCs is to place all the risk in a company with no assets. A recent trend for GP investors is to set up 3 LLCs: a management LLC, a GP LLC (from which they receive their extra share), and a third LLC for regular limited partner investors. “The key with the operating agreements, is they all have the same sections and there's no right and wrong in any section. The question is, what works for you?”   17:30 Tzvi shares his insights on some of the most important documents GPs and LPs need to have in place to protect themselves in a deal. The most crucial document is the operating agreement, as it is the backbone of the LLC. It’s important to establish what works best for each partner.   Next, Tzvi covers compliance requirements for LLCs. There are two key things needed for most LLCs across different states: A registered agent – Many people serve as their own registered agent, but if the LLC operates out of state, a filings company typically assumes this role. Filing an annual (in some states biannual) report.   Tzvi also discusses the Corporate Transparency Act, which aims to track LLCs. Effective as of January 1st, 2024, this federal filing requirement can be challenging for those with multiple LLCs. To simplify the process, Tzvi recommends that all business owners obtain a FinCEN ID, which automatically updates any changes in LLC member information. 30:00 Toward the end of the conversation, Tzvi shares what he’s most excited about currently. He’s thrilled that the barrier to entry in real estate is lowering, especially with the rise of tokenization, which allows anyone to invest at any price point. After working in investment banking, where he gained valuable knowledge about taxes, Omar focused on reducing his tax burden while ensuring financial security for his family. He approached his business with consistency and intelligence. “If you have good partners with similar shared values, you can go much further in a much shorter period of time with way less effort.”   15:46 Omar shares his insights on limiting tax exposure, even with a W2 job. He recommends getting involved in tax-incentivized industries like oil and gas or real estate and emphasizes the importance of carefully managing your 401(k). As a business owner, he explains, it's easier to limit tax exposure by deferring taxes. Omar looked into various real estate asset classes, including retail and industrial, but ultimately chose multifamily properties for their generous tax write-offs. He focuses on B and A-class properties. In 2020, he expanded his portfolio to include development, highlighting that strong partnerships were key to his success. “In our line of work, success is not doing stupid things.”   31:51 He’s eager to grow his leadership team and expand their portfolio. Initially, they focused on ghostwriting in finance and real estate. Later, they specialized in LinkedIn ghostwriting for CRE companies.   Adam recommends niching down to a specific area, as it attracts the right clients and helps develop deeper expertise. While his company occasionally works with clients from different real estate sectors, that isn't their primary focus. “Providing value on LinkedIn is providing your story through a lens that only you can tell.”   06:22 Adam shares insights on helping clients thrive in 2024 amidst the recent changes in the CRE industry. It’s crucial to have a long-term strategy and consistently execute it, despite the constantly shifting market and algorithms. Be consistent and authentic and provide value through storytelling over time to achieve success.   Adam also discusses how to create content on social media that converts clients. AI tools are valuable when used correctly. Study other content creators to understand what captures attention and why. Comment on 20 LinkedIn posts a day to gain ideas for your own content. “Everybody wants to write with AI and nobody wants to read AI.”   22:02 Regarding AI's impact on content writing, Adam believes AI is a valuable tool for brainstorming and editing, but it cannot replace content created by real humans. Her love of numbers has helped her become a prolific underwriter. “Kenya is a ripe market for investment.”   06:48 Winnie discusses the Nairobian market, noting that while it is not as mature as some European or American markets, it has grown significantly over the last two decades. The Kenyan economy is growing at an average rate of 6% annually, and there is a housing shortage of around 200,000 apartments, creating many opportunities for investors. In the past couple of years, Winnie has observed an emphasis on experience-based housing in Nairobi, aimed at building communities with more amenities.   Winnie is also a sales consultant. She shares some fundamental principles for achieving success in sales: Understand your field and the market you’re in. Learn about communication and persuasion. Adopt a consulting approach rather than solely a sales approach. Be intentional. Know your "why" and help your clients move forward based on that. “I'm looking forward to seeing Africa grow. She began by investing in duplexes and triplexes, before moving on to raising capital for larger 100-unit apartment buildings.   According to Emma, networking and collaborating with experienced professionals proved to be a key factor in her success. “You should not get into the landlording business if you're only in it for the money. It should be because you love buildings, and the people who live and work in them, and you find construction, development, and all those things fascinating.”   18:30 Emma highlights that capital raising is a multi-step process, requiring patience and perseverance due to its time-consuming nature.   Emma shares how she achieved financial freedom. He explored various areas in the real estate industry but now focuses primarily on development and acquisition.    At 29 years old, Alex has already gained extensive experience in real estate. He attributes his success to finding mentors, continuous learning, and networking. “The commercial real estate business is all about building and nurturing relationships.”   11:30 Alex is an industrial developer based in Chicago. His company, Enclave, manages $1.5 billion in assets. They primarily work with businesses ranging from Fortune 500 companies to the middle market.   Alex shares the key steps of the developer process: Building a relationship with the client and submitting the RFP. Most tenants and tenant rep brokers prioritize timing, delivery dates, and cost. Entering the entitlement phase, which involves understanding the general timeline and requirements for site plan approval. After due diligence, constructing the suit and securing tenants ahead of time. Alex’s company typically works with tenants on 10-20 year leases. Finally, asset management and property management take over the project with a triple net lease. “Continue to treat people with respect and it'll eventually come back around to you and good things will happen.”    33:00 Toward the end of the conversation, Alex shares what he’s most excited about currently.     Winning at Asset Management, with Sandhya Seshadri

You have millions of dollars of other people's money on the line depending on a motivated team on-site to execute for you.”   02:22 Sandhya built a successful corporate career in engineering as a project manager. Initially, she began investing in the stock market for tax advantages on capital gains. However, she quickly discovered that real estate offered a better path to diversification.   During her corporate career, Sandhya gained many valuable skills. She is comfortable with spreadsheets, making her a strong underwriter. Additionally, she learned how to manage large projects and think critically. “If you have negative cash flow in your deal, recognize it, face it, and find a way to deal with it.”   09:33 At the beginning of her real estate journey, Sandhya chose passive investing in multifamily properties to learn. She emphasizes two critical factors for passive investors to screen: the sponsorship team and the location.   Currently, Sandhya focuses on asset management. She highlights the importance of collaboration between the underwriter and the asset manager, especially when it comes to the numbers. Asset managers should also always prioritize the investors.   Sandhya shares her insights on navigating challenges when executing a business plan: Expenses are increasing across the board. Be conservative with your underwriting to ensure your deals remain net cash positive. If you’re in a continuous negative cash flow, go onsite, address occupancy issues, and review all metrics to develop a plan.   At the end of the conversation, Sandhya shares one point of clarity with the listeners - Never give up, never surrender. It creates some of the urgency that I think you need in business today.”   01:30 Marc's concrete career began at a young age - just 6 years old - working alongside his father. He gained numerous skills and by the time he reached 20, made the bold decision to expand the family business.   After 7 years of hard work, Marc realized the limitations of his approach. Seeking a more sustainable path he delved into the world of entrepreneurship. He read books, listened to podcasts and educated himself. “There's marketing, there's sales, there's operations, there's all these different things within every business, but every business is the same once you see them.”   12:25 After learning about the industry, Marc focused on building a strong business. He implemented efficient systems and found the right people for the right seats. Recognizing his own visionary strengths, he sought a partner with operational expertise.   To scale his business, Marc slowly shifted his focus from concrete to general contracting. Around 2017, he invested in 20 units within a 70-unit townhome development in Las Vegas. By 2020, Marc had diversified his portfolio to include office spaces, land, and storage facilities.   Marc shares his insight on building a successful brand: Consistency is key! If you struggle with it, build a team to help you. Building a strong brand is an investment. Don't shy away from allocating resources to your brand image. “Anytime you're in America, I think you can always say that: investment here is the best of anywhere.”   41:47 Toward the end of the conversation, Marc shares what he’s most excited about currently. He has grown the construction company to over $25 million a year. They develop commercial projects both 3rd party and investment projects for their investors.   Since 2018, they have added over 200 units in the Midwest. The benefits of real estate have given him the freedom of time. His goal is to help investors reach financial freedom through real estate.   Today he owns and operates three successful companies that do eight figures a year.
