Corporate Tax Disclosures Let Investors Peer Into the Black Box

Investors are getting a lot more information about an area that’s been a mystery in the past: What goes into companies’ tax bills. The US, the European Union, and Australia all have new or forthcoming requirements for companies to publicly disclose more details about the makeup of their tax payments—especially where they’re paying. That can help investors compare companies and shed light on instances where multinationals might be locating their profits in lower-tax countries to cut their payments. The new requirements are already forcing companies like Meta Platforms Inc., Merck & Co. Inc., and Caterpillar Inc. to disclose that they’re making big tax payments in countries like Ireland and Switzerland that have long had a reputation as “tax havens.” Meta paid Ireland $567 million in income taxes last year, according to its first-ever disclosures as part of new US accounting requirements. Still, the different regions' rules differ significantly—in some ways they complement each other, but gaps in information remain. Sidley Leader Yvette Ostolaza Shares Growth Strategy

Sidley Austin LLP crossed $3.74 billion in revenue last year and has its sights set on $4 billion — but according to its top leader, the number is a byproduct, not the goal. The real question is whether the firm is built for what comes next. Today on On the Merits: Yvette Ostolaza, chair of Sidley's management committee, sits down with Bloomberg Law reporter Meghan Tribe to discuss strategic lateral hiring, formal integration plans, and a willingness to pull back from practices and geographies that aren't growing. "There are no sacred cows," Ostolaza said. "We need to continue to evaluate how the industry is changing." She also weighed in on how Sidley is treating AI: not as a pilot project, but as core leadership infrastructure deployed across the firm with dedicated governance, training, and practice-group liaisons. "It doesn't replace judgment, it sharpens it," Ostolaza said.

New IRS Tool for Free Tax Return E-Filing Is Live

Many taxpayers with relatively simple returns can now electronically file their returns directly with the IRS for free for the first time. The IRS, after months of preparing its government-run free e-filing pilot tool, launched the program to the wider public Tuesday. The Treasury Department expects about 100,000 of the millions eligible to use it. Democrats’ Inflation Reduction Act set aside $15 million for the IRS to issue a report on the feasibility of creating a direct e-filing tax return system. The pilot comes after years of controversy and pushback from Republicans and tax-prep software companies saying the IRS shouldn't be a preparer, collector, and enforcer. Bloomberg Tax reporter Erin Slowey spoke with Bridget Roberts, chief of Direct File at the IRS, about how the rollout is going, who is eligible, and the fate of a permanent agency-run option. Corporate Tax Leaders Weigh AI's Risk-Reward Calculus

Artificial intelligence is becoming a bigger part of tax practice and policy every day. The Big Four are spending billions of dollars on AI models, and even mid-tier accounting firms seem willing to at least tread into generative AI transformation, albeit slowly. These investments raise questions about how corporate in-house tax departments are evaluating AI integration. In this special edition of Talking Tax, Bloomberg Tax Insights editor-at-large Rebecca Baker chatted with three different in-house tax leaders to hear their views on the emergence of AI in the profession, and in their lives. While they all agree AI must be part of the conversation now, they have different takes on how it should be used—or if it should even be used at all. Kurt Lamp, vice president of global tax at Amazon, is the most bullish on pulling AI tools into the corporate tax function, noting the ability to extract data and automate tasks. Accounting Firms Navigate Compensation as AI Tools Upend Work

Artificial intelligence is putting accounting firm leaders on alert for workers well-versed in using and managing the new tools as the industry invests heavily in modernizing workflows. Firms should be staying attuned to the talent market and updating their salary structures accordingly to both attract early-career workers and retain staff looking to climb the ranks, according to Dominic Piscopo, founder of compensation data analytics firm Big 4 Transparency. They should also be having transparent conversations with their workers so compensation isn't a "black box." "Having transparency in those models and being willing to talk about it with people—not just have this very kind of cold process where a number is thrown out—can make all the difference, even if the number is exactly the same," Piscopo told Bloomberg Tax. Big Four accounting firms—EY, Deloitte, PwC, and KPMG—have started equipping staff with AI tools that promise increased efficiency and improved workflows. The new tech is prompting the industry at large to examine its workforce strategies and pricing models to stay competitive and attract talent. Say Goodbye to the Era of Never Changing Law School Rankings

For a long time, the top dozen or so law schools in US News & World Report's annual rankings stayed remarkably consistent, with Yale for example holding the top spot every year since the rankings debuted in 1990. But not this year. Yale is now no longer at the very top of the highly influential rankings, which were unveiled earlier this week, having slid down to number two. While this may seem insignificant, Bloomberg Law columnist David Lat said even dropping one spot can tangibly affect a law school's brand. Lat spoke about this with Bloomberg Law editor Jessie Kokrda Kamens for our podcast, On The Merits. He said recent changes in the methodology for compiling these rankings means we should expect more movement in and out of the top spots in years to come. Grant Thornton Leader Leveraged PE Deal to Raise Audit Bar

Grant Thornton’s top audit leader is bullish on the practice’s future after a 2024 deal that sold a significant stake in the accounting and advisory firm to private equity investors led by New Mountain Capital. The audit practice has benefited from a boost in dedicated resources and also bolstered its safeguards against conflicts of interest. Those improvements stem from an operating contract between Grant Thornton’s legacy audit practice and its PE-backed business, said Ron Messenger, CEO of Grant Thornton’s audit business. The firm’s private equity deal ushered in a new two-part legal structure that created a corporate entity to provide its tax and advisory work while audit partners run the firm’s legacy assurance business. Nearly half of the largest 30 firms have cut PE deals and they all rely on what the industry calls the “alternative practice structure.” Underpinning that new operating structure is a services agreement spelling out the relationship between the two entities from governance to resources. Those agreements can’t be an afterthought, Messenger said. He spoke with Bloomberg Tax reporter Amanda Iacone about how Grant Thornton's services agreement came together, how regulators informed that document, and how it will influence the quality of the firm’s auditing. What the G7 Did to the Global Tax Pact, and What Comes Next

The fate of the OECD-led global tax deal was rocked this week after the US and its Group of Seven allies came to an understanding that would exempt American companies from two key parts of the global minimum tax framework. G7 countries agreed to the exemption over the weekend in exchange for Congress removing Section 899 from its tax-and-spending bill—a provision referred to as the "revenge tax" that would have hiked taxes on foreign-owned companies if their home countries imposed "unfair" taxes on US businesses. In this week's episode of Talking Tax, reporter Lauren Vella talks about how the agreement was reached, and why the G7's statement is only the first small step toward the US achieving what it calls "side-by-side" treatment of its tax system and the global minimum tax framework. Six months into implementation of the new global corporate minimum tax, countries are racing to craft incentives to attract and maintain outside investment. Companies, too, are pouring resources into complying with the tax. The tax took effect in January in dozens of countries across the globe, with a goal of "raising the floor" tax rate to 15% in every country that a multinational company operates in, to reduce profit shifting to low-tax countries. K&L Gates Goes on the Offensive in the Legal Talent Wars

When it comes to winning the legal industry talent wars, the best defense is a good offense, according to K&L Gates' global managing partner, Stacy Ackermann. Her firm is "going out into the market" rather than "being in a reactionary mode of 'Let's see what comes to us and what the headhunters bring to us,'" Ackermann said. She spoke to Bloomberg Law editor Chris Opfer on our podcast, On The Merits, about how competitive the market for legal talent has gotten, even in secondary markets like her home base of Charlotte, N.C. She also talked about why K&L Gates is continuing to push its attorneys to use AI, even after some of its attorneys got reprimanded last year for using hallucinated citations in a court case.
