    Episode 9: ウォーターフォールとは何か

    なぜGPとLPは利益の分け方を50年以上議論し続けているのでしょうか。 ファンドの世界では、投資回収資金の分配ルールを「ウォーターフォール」と呼びます。 しかしウォーターフォールは単なる利益分配の計算式ではありません。 Deal-by-Dealか、Whole Fundか。 Hurdle Rateはなぜ存在するのか。 0%のハードルレートは本当に公平なのか。 こうした条項はすべて、GPとLPが何十年もかけて議論してきた「公平性」と「インセンティブ設計」の結果です。 今回はタンザニアのダルエスサラームから、 ウォーターフォールとは何かなぜ複雑なのか雛形LPAはなぜその形になったのかについてお話しします。 ブログ記事はこちらから (English) Why Waterfall Exist Why have GPs and LPs spent more than fifty years debating how profits should be shared? In private equity and venture capital, profit distribution follows a structure commonly known as the waterfall. Yet waterfalls are much more than distribution formulas.
