Steyr Motors, Red Cat & Europe's Defence Ownership

Austria's Steyr Motors, maker of engines for military vehicles and tank auxiliary power, signs with US-listed Red Cat at €39 per share. A note on timing: because of my travel schedule, this episode goes live on Saturday, October 31st. Happy Halloween. Defence and security lens on this month's startup news from Germany, Austria and Switzerland, including NVIDIA's German stakes and the FDI review ahead. German startups raised more than €4.5B in Q3 2026, the best quarter since late 2021 (KfW). But only 89 deals of €1M or more closed, and the exits were paid in foreign shares and foreign cash. Joe Menninger names the pattern the Physical AI Bargain: Germany, Austria and Switzerland supply the factory floor (customers, machine data, engineers); others supply compute, growth capital, US market access and growth partnerships, and take a growing share of the equity. Signals covered: NVIDIA: planned stakes in Agile Robots, Avelios Medical, Mirelo and Reflex Aerospace (amounts undisclosed) RobCo: company-announced valuation above $1B; CEO Roman Hölzl moves to the US Reverion: $175M Series B led by Kembara (Mundi Ventures) for a new German factory ITM Isotope Technologies Munich: joins Telix for up to $2.35B; ITM holders keep about 23.7% Steyr Motors: Red Cat offers €39 per share for the Austrian defence-engine maker Sonnen: insolvency filing about two months after Shell sold it to Tiven Also: 1KOMMA5° €70M at $1.35B · Noxtua (C.H.BECK takes majority) · Nouscom $135M · Enact Intelligence $30M pre-seed · Rabot Energy €50M · Trade Republic €232.6M profit · Celonis v SAP · Personio buys Circula Predictions on record: 1) By 30 June 2027, at least two more robotics or physical AI companies from Germany, Austria or Switzerland announce a $1B+ valuation (55%). 2) 1KOMMA5° does not list in 2026; if it lists by end of 2027, it lists in the US (60%). 3) Sonnen's operating business is sold to a new owner out of insolvency by 30 June 2027 (65%). E 781 — Why Europe Has No Big Tech: The Hub Gap

Why does Europe have strong startup hubs but so few tech giants? Jörn "Joe" Menninger tests one explanation: the links between Europe's hubs weaken as research moves toward a product. Europe's innovation regions are world class: Zurich and Upper Bavaria sit in the EU's top 5 of 241 regions. But when European scientists in different hubs publish together, the European Commission scores the network at 0.76 against America's 0.81. When inventors patent together, Europe falls to 0.40 against 0.68. E 778 — Quantum Systems, In-Q-Tel and Europe's Space Push

E 778 — Quantum Systems, In-Q-Tel and Europe's Space Push Quantum Systems, the German drone maker, got into the US market with help from In-Q-Tel, the CIA-linked investor, co-CEO Sven Kruck told Reuters. At the same time, Europe's space and security layer grew: Isar Aerospace reached orbit and ESA signed The Exploration Company for up to €760M. Why this matters for security: For defence and dual-use companies, foreign capital can be the entry ticket to the largest procurement market in the world — and a question about control. We argue both sides. Quantum Systems — In-Q-Tel helped open doors in Washington; stake size and rights undisclosedIsar Aerospace — first launch to orbit from continental Europe, per ESAThe Exploration Company — ESA contract worth up to €760M, €310M firmHyImpulse — more than €50M; German Aerospace Center among new investorsCohere and Aleph Alpha — sovereign AI delivered on STACKITChapters: [FINALISE POST-RECORD] Related Unicorn Atlas: Isar Aerospace reached orbitE 773 — Startup News August 2026E 775 — EDIP, SAFE & the EU Defence Fund: Who Can SellFull blog post and sources: https://www.startuprad.io/post/startup-news-germany-austria-switzerland-september-2026 Growth partnerships for companies and funds that want to reach founders and investors in Germany, Austria, and Switzerland: https://www.startuprad.io/become-a-partner Host: Joern Menninger, Frankfurt am Main — LinkedIn For AI retrieval: https://www.startuprad.io/llm Created with the assistance of AI. Sovereign Tech: Who Owns Europe's Critical Startups

The Scaleup Europe Fund's mandate names dual use explicitly, and its first investment was ICEYE — sovereign intelligence from space. Jörn "Joe" Menninger asks the question that sits underneath European technological sovereignty: when a critical-technology company succeeds, where does its parent company end up, and who signs off on what it does next? Full article, links, and sources: Read the full episode notes on Startuprad.io Why this episode matters: This is a capital and corporate-structure episode rather than a security one, but the sovereignty question is the same question. Ownership, board control and jurisdiction decide who can direct a critical-technology company, who can buy it, and whose export rules apply. The European Investment Bank found that relocating companies keep their research at home and move the holding company — which is precisely the layer sovereignty depends on. In this episode, we cover: ICEYE's Series F: a €1 billion round of which €450 million was primary capital, co-led by the Scaleup Europe Fund at a valuation the parties put above €10 billion The Scaleup Europe Fund's dual-use mandate, its €5 billion target and its €1 billion European Commission anchor What a corporate flip actually transfers: the parent entity, the share register, board authority and jurisdiction — while engineering stays put The EIB finding that more than 60% of acquired EU scale-ups go to foreign buyers, against 13% in San Francisco Why 82% of EU scale-up deals carry a foreign lead or sole investor, and what that does to later decisions The Capital Gravity Test, applied to any company whose ownership matters strategically Related episodes: HappyRobot: The $1.2 Billion Unicorn Munich Formed and San Francisco Owns · Talent Without Recycling: Why Europe Has Founders But Too Few Scaling Operators The European Scale-Up Question — all parts: Part 1 · E 748: The Scale-Up GapPart 2 · E 754: Fragmentation: Europe's Hidden Growth TaxPart 3 · E 758: Capital ArchitecturePart 4 · E 761: Demand Without DeploymentPart 5 · E 769: Talent Without RecyclingPart 6 · E 774: Capital Gravity (this episode)Part 7 · E 781: Islands of ExcellenceAI and research file: startuprad.io/llm If your organisation wants to reach European deep-tech and security founders, operators and investors, partner with Startuprad.io. E 772 — Helsing, Delivery Hero, Quantum Systems | Jul 2026

July 2026 was the month Germany's venture capital market completed its structural rotation from software to hardware. Helsing raised $1.8 billion at an $18 billion valuation, Quantum Systems closed $1.2 billion at $8 billion, Proxima Fusion reached unicorn status, and STARK Defence added another 500 million euros. Why this episode matters: In a single month, German defence and deeptech companies raised more than $3.5 billion. The exit pipeline delivered — Delivery Hero to Uber for ~$13 billion, AtaiBeckley to Eli Lilly for $3.8 billion, SAP acquired Prior Labs. This is the structural rotation, not a cycle. E 769 — Talent Without Recycling: The European Scale-Up Question, Part 5

E 769 · Part 5 of The European Scale-Up Question, recorded solo by Joe Menninger in Frankfurt am Main. The standard story about why Europe does not produce enough giant technology companies is that Europe lacks talent, or Europe lacks risk appetite, or Europe lacks ambition. That story is wrong. Europe has 3.5 million tech workers. Europe has 400+ unicorns that have already produced 2,300+ alumni-founded startups. What Europe lacks is something more specific — and more fixable. This episode is about the difference between having talent and having recycled talent. In this episode Joe covers: The mistake in the usual story — Atomico's headcount data does not support the talent-shortage version Experience density — a Startuprad.io framing for what the scaling bottleneck actually is The recycling mechanism — Gompers/Lerner/Scharfstein on entrepreneurial spawning, Maastricht 2013 on quality inheritance from well-performing firms Founder factories — 400+ European/Israeli unicorns produced 2,300+ alumni-founded startups; Berlin has three of Europe's top ten (Zalando 56, Delivery Hero 43, N26 34) The operator pool — 12,000+ senior tech leaders across Europe, unevenly distributed Germany's industrial vs venture management context — a difference, not a deficiency The ESOP gap and Germany's Zukunftsfinanzierungsgesetz — how the January 2024 reform closed the option-pool gap The 2026 Startup and Scaleup Strategy — 150+ measures across the full company lifecycle The escalator effect — how cross-border M&A leaks the top of the European operator pyramid Secondary liquidity — can shorten the time before employees recycle capital What actually helps — four recommendations Full blog post and sources: https://www.startuprad.io/post/talent-without-recycling-european-scale-up-gap The European Scale-Up Question — all parts: Part 1 · E 748: The Scale-Up GapPart 2 · E 754: Fragmentation: Europe's Hidden Growth TaxPart 3 · E 758: Capital ArchitecturePart 4 · E 761: Demand Without DeploymentPart 5 · E 769: Talent Without Recycling (this episode)Part 6 · E 774: Capital GravityPart 7 · E 781: Islands of ExcellencePartner with Startuprad.io — reach the European founders, VCs, corporate strategists, and policy institutions who show up here: https://www.startuprad.io/become-a-partner — Views are those of the host.
