    #37 Commercial Disputes in Vietnam: Court or Arbitration, 8% penalty, and recovering money after winning

    Welcome back to The Lawyers Talk channel from BLawyers Vietnam. I’m Huynh Kim Thanh, and I’m glad to be with you in today’s episode No. 37 of the BLawyers Vietnam podcast. Before we begin, let’s imagine a very practical situation: your business has delivered the goods, provided the services, and fulfilled its contractual obligations, but the other party delays payment, avoids responsibility, or even terminates the contract without prior notice. At that point, the question is not only “who is right and who is wrong”, but also: what should the business do to protect its interests effectively? Today’s topic is about the questions that BLawyers Vietnam most frequently receives from clients who wish to resolve a commercial dispute in Vietnam. Instead of discussing legal rules in a dry or purely technical manner, we will approach this topic from a practical business perspective: how to choose the right dispute resolution forum, how to make penalty and late payment interest clauses truly meaningful, and how to make sure that winning a case does not remain only a judgment or award “on paper”. A commercial dispute is a dispute arising from commercial activities between parties who are referred to as “traders” in Article 6 of the Law on Commercial 2005. Accordingly, Article 3 of the Law on Commercial 2005 defines commercial activities as activities carried out for profit-making purposes, including the sale and purchase of goods, provision of services, investment, trade promotion, and other profit-making activities. So, when a dispute arises within the scope of these activities, it can take many different forms depending on its underlying nature. For example, this can include a dispute over goods delivered that fail to meet agreed quality standards, or a dispute arising from a party’s prolonged delay in payment, or a dispute arising when a party unilaterally terminates a contract without prior notice, or simply an outstanding debt that has never been fully resolved. Chủ đề hôm nay là những câu hỏi mà BLawyers Vietnam thường gặp khi khách hàng muốn giải quyết một tranh chấp thương mại tại Việt Nam. Một tranh chấp thương mại là tranh chấp xuất phát từ hoạt động thương mại giữa các bên với nhau, mà Điều 6 Luật Thương mại 2005 gọi các bên này là thương nhân. Theo đó, Điều 3 Luật Thương mại 2005 quy định hoạt động thương mại là hoạt động nhằm mục đích sinh lợi, bao gồm mua bán hàng hoá, cung ứng dịch vụ, đầu tư, xúc tiến thương mại và các hoạt động nhằm mục đích sinh lợi khác. Vậy khi một tranh chấp xảy ra trong phạm vi hoạt động này, sẽ có rất nhiều dạng khác nhau tùy vào bản chất của tranh chấp đó. Chẳng hạn như: tranh chấp về chất lượng hàng hóa giao không đúng như cam kết, tranh chấp do một bên chậm thanh toán kéo dài, tranh chấp phát sinh khi một bên đơn phương chấm dứt hợp đồng mà không thông báo trước, hay đơn giản chỉ là một khoản công nợ chưa được xử lý dứt điểm... Dù là tình huống nào, cách mà doanh nghiệp chuẩn bị và ứng phó ngay từ đầu cũng sẽ quyết định rất nhiều đến kết quả cuối cùng.     #36 Data Protection Officers: the gatekeepers of personal data within enterprises

    Pursuant to the Law on Personal data protection 2025 (“PDPL 2025”), agencies and organizations are responsible for appointing a department or personnel with sufficient qualifications and capacity to protect personal data or engaging organizations or individuals to provide personal data protection services. However, in practice, many enterprises encounter the same concern when implementing this requirement: who should be designated as the appropriate focal point to perform as Data Protection Officer (“DPO”)? Should it be the Legal Department, the Information Technology Department, the Human Resources Department, or a dedicated specialized unit? The selection of an appropriate model not only affects compliance effectiveness but also directly impacts how data is managed and operated within the enterprise. In today’s episode, we will discuss 03 key issues, as follows: (i) The possible organizational models that enterprises may adopt for the DPO?; (ii) The requirements and qualifications that DPO must satisfy?; and (iii) How the scope of work of such function should be defined to ensure both legal compliance and practical alignment with the enterprise’s operational activities? 1.     #36 Nhân sự/ Bộ phận Dữ liệu cá nhân: người gác cổng dữ liệu cá nhân của doanh nghiệp

    Theo Luật Bảo vệ dữ liệu cá nhân năm 2025 (“Luật BVDLCN 2025”), cơ quan, tổ chức có trách nhiệm chỉ định bộ phận, nhân sự đủ điều kiện năng lực bảo vệ DLCN hoặc thuê tổ chức, cá nhân cung cấp dịch vụ bảo vệ DLCN. Tuy nhiên, khi bắt tay vào triển khai, nhiều doanh nghiệp lại phát sinh cùng một băn khoăn: ai sẽ là đầu mối phù hợp để thực hiện chức năng bảo vệ DLCN? Phòng pháp chế, phòng công nghệ thông tin, phòng nhân sự hay một bộ phận chuyên trách riêng? Việc lựa chọn mô hình phù hợp không chỉ ảnh hưởng đến hiệu quả tuân thủ mà còn tác động trực tiếp đến cách dữ liệu được quản lý và vận hành trong doanh nghiệp. Trong tập hôm nay, chúng ta sẽ cùng trao đổi 03 vấn đề chính: (i) Doanh nghiệp có thể tổ chức lực lượng bảo vệ DLCN theo mô hình nào?; (ii) Bộ phận, nhân sự bảo vệ DLCN cần đáp ứng điều kiện gì?; và (iii) Phạm vi công việc của lực lượng này nên được xác định ra sao để vừa tuân thủ pháp luật, vừa phù hợp với hoạt động vận hành thực tế của doanh nghiệp? 1. Khi lựa chọn, doanh nghiệp cần cân nhắc quy mô, khối lượng dữ liệu và chi phí vận hành, để cân bằng giữa tuân thủ pháp luật và hiệu quả kinh doanh.     Xin chào anh chị và các bạn đang nghe The Lawyers Talk của Công ty Luật TNHH BLawyers Vietnam. Tôi là Lê Thị Thanh Hà, và trong số podcast hôm nay, chúng ta sẽ cùng nói về một chủ đề rất gần với thực tế doanh nghiệp: AI và pháp luật. Dùng AI thì nhanh hơn, hiệu quả hơn, nhưng rủi ro pháp lý đi kèm là gì? Hiện nay, AI đang đi vào gần như mọi hoạt động của doanh nghiệp: từ quản trị nội bộ, chăm sóc khách hàng, tuyển dụng cho đến phân tích dữ liệu. Nhưng đi cùng với tốc độ là những câu hỏi pháp lý rất thật, rất sát sườn mà nhiều doanh nghiệp vẫn chưa chuẩn bị kịp. Đó cũng là lý do vì sao chủ đề AI và pháp luật đang trở nên ngày càng quan trọng. (i) Nếu AI gây thiệt hại cho khách hàng, đối tác hoặc người dùng, cuối cùng ai sẽ là người chịu trách nhiệm? (ii) Doanh nghiệp được phép dùng dữ liệu đến đâu để huấn luyện AI, và đâu là ranh giới pháp lý không nên vượt qua? Dưới góc nhìn AI và pháp luật, đây không còn chỉ là câu chuyện công nghệ. Đây là câu chuyện về trách nhiệm pháp lý, quyền sở hữu dữ liệu, bảo vệ dữ liệu cá nhân và cách doanh nghiệp kiểm soát rủi ro khi đưa AI vào vận hành. Đặc biệt, căn cứ Luật Trí tuệ nhân tạo 2025 (“Luật TTNT 2025”) cùng với Luật Bảo vệ dữ liệu cá nhân 2025 (“Luật BVDLCN 2025”) và các quy định liên quan, doanh nghiệp sử dụng AI sẽ không chỉ được nhìn nhận là “người dùng công nghệ”, mà còn là chủ thể phải chịu trách nhiệm đối với rủi ro do AI tạo ra.     #34 Data protection: 3 key considerations regarding data-subject consent for businesses

    Welcome back to The Lawyers Talk, a podcast by BLawyers Vietnam. I am Huynh Kim Thanh, and I am delighted to be your host for today’s episode. In this day and age, personal data is often compared to a raw resource for businesses. However, to exploit this resource legally and effectively, there is one crucial element that businesses cannot overlook: Customer Consent. Therefore, our topic today is 03 key considerations regarding data subject consent that businesses must grasp to build a standard and compliant data governance process. 1. Consideration 1: Which data requires consent, and which does not? A question I believe many of us ask ourselves is: "Does every piece of data we want to process require prior permission?" The answer is: Nearly all of them do, but there are a few exceptions. According to Article 9 of the Law on Personal data protection 2025, the general principle is that when a business performs any action, from collection and storage to usage, whether it is basic data like names and phone numbers or sensitive data like health status, the business must obtain the data subject’s consent. However, this Law also provides 05 exceptions under Clause 1, Article 19, which I consider as “urgent situations”, including: (i) First: urgent cases. For instance, to protect the life, health, or honor of the customer themselves or others in an emergency. In such cases, the consent requirement is waived to ensure timeliness.     #34 Dữ liệu cá nhân: 3 lưu ý liên quan đến sự đồng ý của chủ thể dữ liệu cá nhân mà doanh nghiệp cần nắm

    Xin chào quý khán thính giả đã quay trở lại với kênh The Lawyers Talk của Công ty Luật TNHH BLawyers Vietnam. Tôi là Huỳnh Kim Thành, rất vui được đồng hành cùng quý vị trong số podcast ngày hôm nay. Trong thời đại ngày nay, dữ liệu cá nhân được ví như một nguồn tài nguyên thô của các doanh nghiệp. Tuy nhiên, để khai thác chúng một cách hợp pháp và hiệu quả, doanh nghiệp không thể bỏ qua một điều quan trọng đó là: Sự đồng ý của khách hàng. Do đó, chủ đề chúng ta cùng trao đổi hôm nay là 03 lưu ý liên quan đến sự đồng ý của chủ thể dữ liệu mà doanh nghiệp cần nắm để xây dựng quy trình quản trị dữ liệu của mình chuẩn chỉnh. 1. Lưu ý thứ nhất: Dữ liệu nào cần có sự đồng ý, dữ liệu nào thì không cần? Với lưu ý này, một câu hỏi mà tôi nghĩ ai trong chúng ta cũng luôn tự hỏi bản thân mình: “Có phải dữ liệu nào chúng ta muốn xử lý thì cũng phải được xin phép trước không?”. Câu trả lời ở đây là: Gần như tất cả đều phải được xin phép, nhưng có một số ngoại lệ. Theo quy định tại Điều 9 của Luật Bảo vệ dữ liệu cá nhân 2025, nguyên tắc chung là khi doanh nghiệp thực hiện bất kỳ hành động nào từ thu thập, lưu trữ đến sử dụng dữ liệu, dù đó là dữ liệu cơ bản như họ tên, số điện thoại hay dữ liệu nhạy cảm như tình trạng sức khỏe,… thì doanh nghiệp đều phải có sự đồng ý của chủ thể dữ liệu. Tuy nhiên, luật này cũng đưa ra 05 trường hợp ngoại lệ tại Khoản 1, Điều 19, mà tôi cho rằng đây là các tình huống khẩn cấp, bao gồm: (i) Thứ nhất là nhóm trường hợp cấp bách: Ví dụ như để bảo vệ tính mạng, sức khỏe hay danh dự của chính khách hàng đó hoặc người khác trong tình trạng nguy cấp. Lúc này, việc xin phép sẽ được lược bỏ để đảm bảo tính kịp thời. Tuy nhiên, các bên có liên quan đến việc kiểm soát, xử lý dữ liệu cá nhân có trách nhiệm chứng minh trường hợp này.
