Adam Coonan and Lisa Coletta

Off the Record explores the governance conversations that don’t always make it into the minutes. Hosted by governance professionals Adam Coonan and Lisa Coletta, the podcast examines the realities shaping Boardroom decision-making today — from director responsibilities and regulatory developments to the behavioural dynamics that influence how decisions are really made. Drawing on their experience working with Boards, executives, and governance professionals, Lisa and Adam discuss the tensions, questions and emerging issues that sit behind formal governance frameworks. Each episode explores the ideas, insights and real-world observations that influence governance in practice — including topics such as Boardroom accountability, director oversight, decision-making under uncertainty, the role of inquiry, and the evolving influence of technology. Off the Record is for directors, governance professionals, executives and advisors who want to better understand the dynamics shaping governance and decision-making in modern organisations.

Episode 12 - What happens when the Board itself becomes the risk?

AI, cyber security, regulatory change and emerging risks are placing increasing demands on Boards. But what happens when the real challenge isn't the complexity of these issues, but the capability of the Board itself? In this episode of Off the Record, Lisa Coletta and Adam Coonan explore why emerging challenges can expose weaknesses that already exist around the Boardroom table, from clunky decision-making and inadequate challenge to overconfidence, uncomfortable power dynamics and an unwillingness to acknowledge what Directors don't know. They examine what genuine Board resilience looks like, the difference between having governance frameworks and possessing the collective capability to use them effectively, and why adaptability doesn't diminish Directors' legal duties or their responsibility to exercise independent judgement. The conversation also challenges how Boards assess their own effectiveness, particularly when the Chair influences the willingness of others to speak up, and whether self-assessment alone can reveal the behavioural dynamics affecting decision-making. Because if AI, cyber security or another emerging issue has rattled your Board, that experience may be revealing something far more significant than a gap in technical knowledge. Perhaps the greatest warning sign isn't the emerging risk itself, but what your Board's response reveals about its ability to govern whatever comes next.

Episode 11 - Six Degrees of Boardroom Separation

How connected are Australia’s Boardrooms, really? In this episode of Off the Record, Lisa and Adam explore the invisible networks that exist between ASX-listed company Boardrooms and what those connections might mean for governance, influence and decision-making. Using a 2021 analysis of ASX 200 director networks as the starting point, they examine the behavioural dynamics that can emerge when Directors repeatedly sit alongside people within interconnected professional networks. From conflicts of interest and confidentiality to Directors’ duties, Board recruitment and appointments, information boundaries, independence and the clean use of power, they explore what can happen long before behaviour ever reaches a legal or regulatory threshold. Because relationships between Directors are not inherently problematic. Familiarity can create trust, confidence, psychological safety and enormously valuable experience. But relationships are not behaviourally neutral either. They can influence whose judgement carries weight, how rigorously people challenge one another, how information moves, who feels like a safe appointment and ultimately how independently Directors think before they are required to decide collectively. Lisa and Adam also consider a question that rarely appears on a conflicts register or in the minutes: how well do Boards really understand the wider professional networks surrounding their own Directors? Because the minutes may tell you what the Board decided.  They rarely tell you everything that shaped how it got there.
