    Dans ce nouvel épisode de Une Cession Presque Parfaite, j'ai reçu Eric Le Poole, entrepreneur et investisseur qui a réalisé un OBO sur sa propre entreprise avant de la vendre avec succès. On a parlé en détail de cette opération qui permet de récupérer des liquidités tout en gardant les commandes. L'OBO (Owner Buy Out) est un mécanisme encore peu connu par de nombreux dirigeants de PME. Pourtant, cette opération permet de réaliser un cash-out (récupérer une partie de la valeur de votre entreprise) tout en conservant le contrôle. Concrètement, comment ça fonctionne ? 🤔 Vous "vendez" une partie de votre entreprise à une structure que vous contrôlez. Cette structure s'endette pour financer l'achat, ce qui vous permet de récupérer immédiatement des liquidités. Vous restez aux commandes et utilisez les bénéfices futurs pour rembourser cette dette. L'OBO répond à un vrai besoin : après des années à construire une entreprise qui marche, votre patrimoine est souvent concentré dans un actif unique et difficile à vendre. L'OBO vous permet de diversifier ce patrimoine sans abandonner votre projet entrepreneurial. ✅ 3 conditions sont essentielles pour une opération réussie : 👉 Une entreprise rentable et stable - Un EBITDA >1M€ est généralement nécessaire. Les banques et fonds recherchent des sociétés avec un historique de rentabilité prouvée. 👉Une croissance constante et prévisible - Votre entreprise doit démontrer une capacité à générer de la croissance année après année. Cette prévisibilité rassure vos partenaires financiers. 👉Une équipe de management solide - Vous ne pouvez pas être le seul pilier. Des managers compétents doivent pouvoir assurer la continuité de l'entreprise, même en votre absence. ⚠️ Concernant l'endettement : une règle simple consiste à s'assurer que le remboursement annuel de la dette ne dépasse pas 50% de votre EBITDA. Ça vous laisse une marge confortable pour absorber d'éventuelles difficultés tout en continuant à investir dans votre croissance. L'OBO n'est pas une simple opération financière, c'est un engagement. Vous vous engagez sur un plan de développement ambitieux pour les 4-5 prochaines années. Ce qui peut inclure des croissances externes, l'ouverture à l'international ou d'autres axes stratégiques.
